GRUPA ŻYWIEC S.A. AND CHICAGO POLAND INVESTMENT GROUP HAVE CONCLUDED AN AGREEMENT REGARDING THE ACQUISITION OF 100% OF THE SHARES IN BROWAR NAMYSŁÓW SP. Z O.O.

Grupa Żywiec S.A. announced in the WSE Report that the Company and Chicago Poland Investment Group, LLC. concluded a share purchase agreement regarding the purchase by Grupa Żywiec S.A. of 100% of the share capital of Browar Namysłów Sp. z o.o. The initial price of the transaction has been set at PLN 500 million (US$ 131.6 million). Finalization of this transaction will require approval from the President of the Office of Competition and Consumer Protection.

Browar Namysłów was advised by Fluxion Advisors, Katten Muchin Rosenman LLP and Magnusson Warsaw. Grupa Żywiec advisors in the process: VCP Polska (advisor), PwC (advisor), Allen & Overy (main legal counsel) and Markiewicz & Sroczyński (UOKiK proceedings).

The beer market in Poland is constantly evolving with the revolution in beer maintaining its pace and consumers looking for more and more variety. Specialty beers and regional beers remain the fastest growing segments in the market. The combination of Grupa Żywiec and Namysłów Brewery is complimentary. Namysłów Brewery has dynamically developed in recent years to become one of the fastest growing regional breweries in Poland. Grupa Żywiec with its long brewing heritage, focus on quality and brand building capabilities has proven its ability to read consumer trends and develop new beer segments. Joining forces will create an opportunity for Namysłów to grow its brands on a larger scale and for Grupa Żywiec to further develop its portfolio to leverage growing consumer interest in specialty and regional segments.

Browar Namysłów is a regional beer company. It sold about 1,8 mln hl of beer in the last year, produced in two breweries, Namysłów and Braniewo. Namysłów Brewery is located in a historic castle with a long brewing heritage dating back to 1321. The main brands are Namysłów, Braniewo, Zamkowe and Kuflowe.

Grupa Żywiec S.A. is the market leader in the premium beer segment and one of the leading beer companies in Poland with over 11 mln hl of beer sold annually. The company’s main brands are Żywiec, Heineken, Desperados, Warka, Tatra, EB, Królewskie, Specjal, Leżajsk. Grupa Żywiec brews its beers in 5 breweries in Żywiec, Warka, Elbląg, Leżajsk and Cieszyn.
