Magnusson Denmark Assisted CVC Capital Partners’ Acquisition of substantial minority stake in TOPdesk

Managing Partner and Head of Corporate M&A Sam Jalaei led Magnusson Denmark’s Corporate M&A team in assisting 9Corporate M&A Lawyers throughout CVC Growth Fund’s circa €200 million investment in global customer services provider TOPdesk.

Cooperating closely with esteemed Dutch law firm 9Corporate, Magnusson Denmark advised on all legal elements of corporate, privacy, intellectual property and employment related to the target’s Danish entity including a full legal due diligence in support of CVC Growth Fund’s recent acquisition of a substantial minority stake in TOPdesk. CVC Growth Fund is the high-growth, technology-focused strategy of CVC Capital Partners, a global alternative investment manager. This investment has initiated a partnership between TOPdesk and CVC Capital Partners.

The beneficiary of this deal, TOPdesk, is a provider of customer service management solutions that enable organisations to streamline their operations, improve customer satisfaction, and drive efficient workflows. The new strategic partnership is a major step for the 30-year-old company headquartered in Delft, the Netherlands, and will allow TOPdesk to leverage CVC Capital Partners’ global expertise and resources to further accelerate growth and innovation in the service management sector.

The investor, CVC Capital Partners through its Growth Fund, is a worldwide investment manager specialising in private equity, secondaries and credit. The investment firm oversees assets valued at approximately €177 billion and operates out of 29 offices across the globe.
