Sam Jalaei is a Danish attorney (advokat) and equity partner at Magnusson. Sam has since 2000 specialized in Corporate and M&A, private equity, venture capital, capital markets, corporate and commercial law and contracts, employment law, litigation and arbitration, technology and sports and media entertainment.
He has more than 20 years of experience with Danish, Nordic and cross-border/international M&A transactions, including planning and completing due diligence investigations, negotiating and drafting SPA and other M&A related documents and sales preparations etc. Since 2000, Sam has advised major listed and unlisted global Danish and international companies in drafting and negotiating commercial contracts. Sam has during the past several years as partner and co-managing partner acted as key account manager and single point of contact for major Danish and international clients – both listed and unlisted – in various business sectors and project managed cross-border transactions in the US, Continental Europe, Nordics, Middle East and South Africa. He also advises on private equity, venture capital, banking and finance and corporate restructurings.
Sam has represented multinational companies – both listed and unlisted – in doing business in the Middle East and Iran for the past two decades. He has advised on several JV and greenfield projects in Iran and Middle East and also provides legal assistance in regulatory matters, contracts drafting and negotiations, IP-infringement cases, sanction rules, corporate and commercial matters, setting-up business, conducting due diligence and financial issues as well.
Sam has also during the years been recommended and mentioned in both Legal500 and Chambers and continues to advise major listed and unlisted Danish and international companies in the Middle East both regarding legal, commercial and business culture issues due to his vast domestic and international network and contacts and extensive travel to Middle East. Sam is the Head of Middle East Group at Magnusson firmwide.
He has since 2009 appeared in various Danish news media as a Middle East/Iran expert. Sam graduated as top 1% at The University of Copenhagen Faculty of Law and also acted as an external lecturer and assistant professor in classes on M&A, European Corporate Finance and Contract Law (2001-2006). Furthermore, Sam is the co-author of a number of Danish and English legal articles. In 2013, the Association of Danish Law Firms (Danske Advokater) appointed Sam as a member of a newly established fees committee to investigate, review and issue a report on the need and urge to reform and propose new fee structures to Danish clients in the legal market following the aftermath of the global financial crisis and change of environment in this regard.
Sam was a member of the board of directors of Danish-American Chamber of commerce (AmCham Denmark) for 11 years.
