Managing Partner and Head of Corporate M&A Sam Jalaei led the Magnusson Denmark and Sweden team in its buy-side counsel to Mesotech International, Inc.’s acquisition of Björn Eliasson Ingenjörsfirma AB, a Swedish engineering firm specializing in advanced measurement technologies.
The transaction marks a strategic expansion for Mesotech, a Sacramento US-based leader in meteorological and environmental monitoring systems, into the Nordic market.
Magnusson advised on all legal elements of Corporate M&A, Banking & Finance, Employment, Privacy and Intellectual Property related to the target. This included conducting a full legal due diligence and providing the corresponding DD report, advising in connection with drafting and negotiations of the SPA, the R&W, FDI analysis and filing, and advising on other supplementary acquisition documents and related relevant legal areas to support Mesotech’s acquisition.
Managing Partner Sam Jalaei and rest of the Danish Swedish M&A team provided comprehensive legal support, navigating the complexities of the process and ensuring a seamless process for Mesotech.
