Summary

Magdalena Berg is head of the dispute resolution and employment law practice at Magnusson. She focuses her practice on national and international arbitration/ litigation, as well as employment law matters. Magdalena frequently represents clients from various parts of the world in disputes before the Swedish courts, before the Swedish Supreme Court and in institutional and ad hoc arbitrations. Her experience spans a wide range of sectors including for example insurance-related matters, corporate, construction, tech, retail, manufacturing, mining, automotive and infrastructure. 

She has participated in the SAA Training Program for arbitrators and regularly sits as an arbitrator.  

Magdalena also assists clients in the preparation and implementation of workforce reduction plans and corporate restructurings, and manages all employment law issues in acquisitions, transfers, and mergers. She advises employers on virtually all employment issues, e.g., employment agreements, strategy issues, terminations, consultations with unions, interpretation of non-competition undertakings, and whistleblowing practices. Her experience covers industry sectors such as banking, transportation, automotive, life sciences, tech, retail, and construction. 

Notable experience includes:

  • Represented suppliers of equipment to public transportation system in multiple international arbitrations (SCC) regarding contractual issues. 
  • Represented a real estate company in arbitration proceedings (SCC) regarding interpretation of share purchase agreement and determination of final purchase price. 
  • Represented an international company in an international ICC-arbitration regarding claims amounting to approx. EUR 50 million.    
  • Represented a multinational company in international arbitration regarding interpretation of warranties and earn out provisions in share purchase agreement. 
  • Represented a multinational company regarding a dealer agreement against its former dealer in the Supreme Court. 
  • Represented a leading company in the Swedish food industry regarding claims for damages against its importer of products in a SCC arbitration. 
  • Represented an international construction company regarding a construction agreement against its subcontractor in ad hoc arbitration. 
  • Regularly represents a number of known insurance companies regarding insurance coverage against insured parties in court litigation.
  • Representing a major facility service company regarding a service agreement against a municipality in a 12 million EUR court litigation. 
  • Advising on non-competition restrictions in employment contracts/shareholder agreements and court litigation regarding the same.  
  • Advising on employment law aspects concerning national and cross-border corporate transactions, workforce reductions and strategy issues, terminations of executives, consultations with unions and interpretation of collective bargaining agreements. 
  • Advising on issues regarding sanctions for a company employing individuals without valid work permits. 
  • Drafting policies regarding whistleblowing.
