Magnusson Denmark advises Milexia Group in acquisition of UR Group

Managing Partner and Head of Corporate M&A and Private Equity Sam Jalaei led Magnusson Denmark’s Corporate M&A team as Scandinavian counsel to Milexia Group’s acquisition of the European industrial distributor, UR Group, through the acquisition of UR Italia S.R.L. and its European subsidiaries.

Cooperating closely with the client’s French advisors, Magnusson Denmark’s Managing Partner and Head of Corporate M&A and Private Equity Sam Jalaei led Magnusson Denmark’s Corporate M&A team in assisting the Paris-based Milexia Group’s acquisition of UR Group’s Scandinavian entity.

Magnusson’s assistance included a full legal due diligence, legal due diligence report, share purchase agreement and assistance with FDI analysis and filing, together with assistance through post-closing actions, including preparing employment agreements for key employees.

UR Group is headquartered in Milan and has since 1996 been a European provider of advanced connectivity systems, subsystems and end-to-end solutions for the Defence, Transportation and Industrial Automation markets.

Milexia Group was founded in 1971 and is one of the world’s leading European suppliers of high-quality electronic components, systems and scientific instruments technology. It has offices and warehouses in France, Italy, Spain, the United Kingdom, Germany and the Nordics.

Building on Milexia’s 2024 acquisition of Cabcon Group, throughout which Magnusson assisted, this new strategic acquisition enables Milexia to enhance its presence and offerings with a growing European team and expertise, enabling the client to work with large international companies across Europe and UK.
