Magnusson Denmark assists LANDR in its acquisition of Reason Studios and all its subsidiaries from the Norwegian PE fund, Verdane

Magnusson Denmark acted as Scandinavian local counsel to LANDR in its acquisition of Reason Studios (and all its subsidiaries in the Nordics and US), the Swedish developer of the Reason Digital Audio Workstation and Reason Rack. The deal combines two trailblazers in music technology and underscores Magnusson’s track record on North American and Nordic cross border tech and PE related transactions.

Cooperating closely with the client’s Canadian advisors and the target’s Scandinavian advisors, Managing Partner & Head of Corporate M&A and Private Equity Sam Jalaei led Magnusson’s local Scandinavian legal support to longtime client LANDR, a Canadian leader in AI powered music production, through its acquisition of Reason Studios from Verdane, one of the largest PE funds in the Nordics.

Magnusson Denmark and Sweden supported LANDR throughout the Scandinavian workstream. Our engagement covered eth carrying out of legal due diligence across the target’s corporate governance, commercial contracts, IP and technology licensing, data/privacy and employment; drafting and negotiation of the share purchase agreement and locally relevant ancillary documents; regulatory reviews, including foreign direct investment and merger control risk assessments and successful applications for the non EU buyer; advice on employment and management arrangements for key Swedish personnel; and closing mechanics together with post closing corporate formalities in Sweden. Sam and the joint Magnusson team also advised on the financing deal involving several well-known top Canadian law firms and Nordic legal and finance advisors.

Following the successful deal, Reason Studios is retaining its own brand, and LANDR is aligning their future work with Reason Studios to continue out of Montreal and Stockholm. The transaction also sees Verdane exit its majority stake in Reason Studios.
