Magnusson Denmark advised the US-based Bioworld Group and its UK-based subsidiary, Character World Limited, in its acquisition of a 49% stake in Björna ApS from N.O.C. Holding ApS. Björna ApS is a Danish textile company specializing in the design and supply of licensed home textiles and private-label products. The transaction further strengthens Magnusson Denmark’s track record in cross border M&A transactions between the US/UK and the Nordic region.
Managing Partner & Head of Corporate M&A and Private Equity Sam Jalaei led Magnusson’s legal support to Character World Limited and the Bioworld Group, a leading global producer and distributor of licensed brand merchandise, which collaborates with major pop culture, toy and entertainment brands, to design and distribute everything from clothing to home accessories.
Magnusson Denmark supported Bioworld Group and Character World Limited throughout the legal workstreams leading to signing and closing of the transaction. Our engagement covered a full legal due diligence with a particular focus on key commercial aspects such as IP and licensing contracts; drafting and negotiating the share purchase agreement and ancillary documents; regulatory advice; as well as closing and post-closing matters.
Sam Jalaei said of the deal,
“We are proud to assist a major global brand on a strategically important acquisition in the Nordics. This transaction underlines Magnusson Denmark’s ability to deliver legal commercial advice in a US/UK and Nordic cross border M&A deal – especially where IP and licenses are key to value. The Bioworld and Character World Limited team has been brilliant throughout the collaboration.”.
Congratulations to Bioworld Group, Character World Limited, Björna ApS, and all advisors involved.
